Acceptance of Terms

By accessing or using AgentBrush (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Favvy Corp (the "Company", "we", "us"). The legal basis for this contract is Art. 6(1)(b) GDPR.

Description of Service

AgentBrush is an AI-powered image generation Software-as-a-Service (SaaS) platform. The Service provides:

- AI image generation via API and web interface using preset-based prompt compilation.

- A mask editor for spatial precision editing (inpainting).

- Brand identity management for consistent visual output.

- MCP (Model Context Protocol) server integration for AI agent workflows.

- Subscription-based access with token-based consumption billing.

Account Registration

To use AgentBrush, you must create an account via our authentication provider, Clerk. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must provide accurate and complete information when creating your account. You must promptly update your account information if it changes.

You may not create multiple accounts to circumvent usage limits or for any other deceptive purpose.

Subscription and Billing

AgentBrush offers subscription plans (Free, Pro, Business) with token-based consumption. Payment is processed by Stripe. By subscribing to a paid plan, you authorize recurring charges to your payment method.

Acceptable Use

You agree to use AgentBrush in compliance with our {{link:/acceptable-use|Acceptable Use Policy}}. You may not use the Service for any unlawful, harmful, or prohibited purpose.

We reserve the right to suspend or terminate your account for violations of the Acceptable Use Policy.

Intellectual Property

Your content: You retain all rights to your prompts and any input you provide to AgentBrush. Subject to the upstream AI model terms (OpenAI Terms of Use and OpenRouter Terms of Service), you own the images generated through your use of the Service.

Important notice: The copyrightability of AI-generated images remains an evolving area of law. Per current US Copyright Office guidance, AI-generated content without sufficient human authorship may not be eligible for copyright protection. We make no warranty regarding the copyrightability of generated images.

Upstream model terms: Your use of generated images is subject to the terms of the AI models used for generation (OpenAI and OpenRouter). You are responsible for reviewing and complying with those terms.

Our content: AgentBrush, its name, logo, and all software, documentation, and non-user-generated content are the intellectual property of Favvy Corp and are protected by applicable intellectual property laws.

Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAVVY CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Favvy Corp, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of another party.

Termination

You may terminate your account at any time through your {{link:/account|Account Settings}}. Upon termination, your right to use the Service will cease immediately.

We may suspend or terminate your account at any time for violation of these Terms, the Acceptable Use Policy, or for any other reason at our sole discretion, with or without notice.

Upon termination, we will delete your personal data in accordance with our {{link:/privacy|Privacy Policy}}, subject to any legal retention requirements.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email.

Your continued use of AgentBrush after any modifications constitutes acceptance of the updated Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of France, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration or in the competent courts of 44300 Nantes, France, except where mandatory consumer protection laws provide otherwise.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
